Preamble and Acceptance

These General Terms and Conditions (hereinafter "Terms") govern access to the site, the use of services and the purchase of the products offered by Velvet Ventures S.R.L. through the website www.piedaterrevenezia.com (hereinafter the "Site"), hosted on the Shopify Inc. platform.

Browsing the Site and/or placing an order imply full acceptance of these Terms, as well as of any further conditions, policies and notices referred to by hyperlink. The Customer is invited to read this document carefully before accessing the Site or making any purchase. Should the Customer not intend to accept the Terms, they are kindly asked not to use the Site.

Velvet Ventures S.R.L. reserves the right to amend, update or replace any part of these Terms at any time, at its sole discretion, by publishing the changes on the Site. It is the Customer's responsibility to periodically review this document for updates. Continued use of the Site following the publication of amendments shall constitute acceptance thereof.

1. General Terms of Online Sale

By accepting these Terms, the Customer declares that they have reached the age of majority under the law applicable in their State or Country of residence, or otherwise that they have the legal capacity to enter into binding obligations.

The Customer is prohibited from using the products or services for any unlawful or unauthorised purpose and, in using the Site, from breaching any legal provision applicable in their jurisdiction, including copyright laws.

The transmission of viruses, worms or any code of a destructive nature through the Site is expressly prohibited. Breach of any of these conditions shall result in the immediate termination of the service.

2. Intellectual Property

The structure, layout and organisation of the contents of the Site, as well as images, information, texts, photographic material, products and, in general, any material displayed on the Site (hereinafter "Materials") are the exclusive property of Velvet Ventures S.R.L. and its assignees, and may only be used for personal purposes and not for commercial or professional purposes.

The trademarks Velvet Ventures S.R.L. and Piedàterre, the relevant logo and any other distinctive graphic and/or figurative sign on the Site, whether registered or not, as well as domain names, designs, patents, copyrights and any other intellectual or industrial property right, are and shall remain the exclusive property of Velvet Ventures S.R.L. Any use, reproduction, distribution, publication, transmission, total or partial modification and sale thereof, for any purpose, including personal and non-commercial purposes, is expressly prohibited without the prior written consent of the owner.

It is prohibited to record, store, duplicate, reproduce, publish, display, transmit, distribute, transfer, translate, transpose, modify and/or sell, even in part, the Materials and/or the Site and/or works derived therefrom, by any means and on any medium, without the prior written authorisation of Velvet Ventures S.R.L.

3. Accuracy of Information

Velvet Ventures S.R.L. shall not be liable if the information made available on the Site is not accurate, complete or up to date. The material published is provided for informational purposes only and should not be used as the sole basis for making decisions without consulting primary, more complete or more up-to-date sources.

The Site may contain historical information which, by its nature, is not current and is provided for reference purposes only. Velvet Ventures S.R.L. reserves the right to modify the contents of the Site at any time, without any obligation to update.

4. Products, Prices and Availability

Velvet Ventures S.R.L. has taken the utmost care in accurately representing the colours, images and characteristics of the products offered on the Site. However, it cannot guarantee that the colour rendering displayed on the Customer's device faithfully corresponds to the actual appearance of the product.

Product prices are subject to change without notice. Velvet Ventures S.R.L. reserves the right to modify or discontinue the service at any time without prior notice and without incurring any liability towards the Customer or third parties.

Velvet Ventures S.R.L. reserves the right, though not the obligation, to limit the sale of its products to certain persons, geographical areas or jurisdictions, and to limit the quantities that may be purchased. All product descriptions and prices may be changed at any time at the Seller's sole discretion. Velvet Ventures S.R.L. also reserves the right to discontinue the marketing of one or more products at any time.

5. Shipping

All orders are dispatched from the Italian warehouse of Velvet Ventures S.R.L. within 48 working hours, excluding Saturdays, Sundays and public holidays.

Shipments are handled by DHL, GLS and FedEx. Shipping costs, as well as any applicable taxes, duties and customs fees, are automatically calculated at checkout based on the destination selected by the Customer.

Upon collection of the order by the courier, the Customer will receive by e-mail a tracking code enabling the shipment to be monitored until delivery.

For international shipments outside the European Union, any customs duties, import taxes or other fiscal charges applied by the authorities of the country of destination shall be borne in full by the recipient.

In the event of delays, unforeseen circumstances or anomalies in delivery, Velvet Ventures S.R.L. will promptly contact the Customer. Save as required by mandatory legal provisions, Velvet Ventures S.R.L. shall not be held liable for parcels lost, damaged or withheld for reasons attributable to the courier or customs authorities.

6. Right of Withdrawal, Returns and Exchanges

6.1 Right of Withdrawal (Online Purchases)

Pursuant to Article 52 of Italian Legislative Decree No. 206 of 6 September 2005 (the Italian Consumer Code), which implements Directive 2011/83/EU on consumer rights, the consumer Customer is entitled to withdraw from the purchase contract concluded through the Site, without stating any reason, within 14 (fourteen) days from the date of receipt of the product.

To exercise the right of withdrawal, the Customer shall send a written notice to info@piedaterrevenezia.com, indicating the order number and the intention to withdraw from the contract. Following an assessment of the eligibility of the item, Velvet Ventures S.R.L. shall refund the amount paid or, at the Customer's request, exchange the product.

To be eligible for refund or exchange, the item must meet the following requirements:

• be returned in the same condition in which it was received;

• not have been worn or used;

• retain all original tags;

• be packaged in the original packaging;

• be accompanied by the receipt or proof of purchase.

Shipping costs relating to the return of the product are shared between Velvet Ventures S.R.L. and the Customer: the Customer shall bear the costs of returning the item to the Seller's warehouse, while Velvet Ventures S.R.L. shall bear the costs of dispatching any new item in the event of an exchange.

6.2 Exchanges for In-Store Purchases

For purchases made at Piedàterre's boutiques in Venice, the Customer may request an exchange within 30 (thirty) days from the date of purchase.

The request must be sent to info@piedaterrevenezia.com, indicating the order number or the receipt details. Upon acceptance, the item may be replaced with another product of equal value or, upon payment of the difference, of higher value.

The product eligibility conditions are the same as those provided for online returns (item in the same condition as received, not worn or used, with original tags and packaging, accompanied by the receipt or proof of purchase).

Shipping costs, both outbound and return, shall be borne entirely by the Customer. No cash refunds are provided for purchases made in store, save in cases of defective or non-conforming products; only exchange with another product is permitted.

6.3 Damaged or Non-Conforming Items

The Customer is invited to check the integrity of the product upon delivery. In the event that the item is defective, damaged or does not conform to the order placed, the Customer shall promptly contact Velvet Ventures S.R.L. at info@piedaterrevenezia.com, in order to allow the Seller to assess the case and identify the most appropriate solution in accordance with the legal guarantees.

6.4 Exceptions and Non-Returnable Items

Customised or made-to-measure products (custom) are excluded from the right of withdrawal, return and exchange, pursuant to Article 59, letter c) of the Italian Consumer Code. For clarification regarding the returnability of specific items, the Customer may contact Customer Service in advance at info@piedaterrevenezia.com.

7. Accuracy of Billing and Account Information

Velvet Ventures S.R.L. reserves the right to refuse any order received through the Site. At its sole discretion, the Seller may also limit or cancel the quantities purchased by a single Customer, a single household or per order, including orders placed with the same account, the same credit card and/or the same billing or shipping address. In the event of modification or cancellation of the order, Velvet Ventures S.R.L. shall notify the Customer by e-mail or telephone, using the contact details provided at the time of purchase.

The Customer undertakes to provide accurate, complete and up-to-date purchase and account information, and to promptly update their data (including e-mail address, credit card numbers and related expiry dates) in order to enable the correct execution of transactions and any communications from the Seller.

8. Optional Tools and Third-Party Services

Velvet Ventures S.R.L. may provide the Customer with access to third-party tools or services over which it exercises no control and in respect of which it conducts no monitoring activity. Access to such tools is provided "as is" and "as available", without any warranty, representation or condition of any kind. Velvet Ventures S.R.L. shall not be liable in any way for the Customer's use of optional third-party tools.

The Site may contain links to third-party websites not affiliated with Velvet Ventures S.R.L. The Seller is not required to examine or evaluate their content and provides no warranties in relation thereto, nor may it be held liable for third-party materials, products or services. Any complaints, claims or questions relating to third-party products shall be addressed directly to the relevant third party.

9. Comments, User Contributions and Reports

Should the Customer send, even spontaneously, creative ideas, suggestions, proposals, plans or other materials, in digital, paper or any other form (hereinafter "Comments"), Velvet Ventures S.R.L. reserves the right to modify, copy, publish, distribute, translate and use them in any form and by any means, with no obligation of confidentiality, compensation or feedback.

The Customer warrants that their Comments do not infringe any rights of third parties, including intellectual property rights, privacy rights or other personal rights, and do not contain defamatory, unlawful, abusive, obscene material, computer viruses or other harmful elements. The Customer is solely responsible for the Comments submitted and for their accuracy.

10. Personal Data and Privacy

The processing of the Customer's personal data is governed by the Privacy Policy published on the Site, drafted in compliance with Regulation (EU) 2016/679 (GDPR) and applicable Italian legislation.

Velvet Ventures S.R.L. shall never request from the Customer the transmission of sensitive financial data, access credentials or confidential information outside the secure checkout procedures established on the Site.

11. Errors, Inaccuracies and Omissions

The Site or the Service may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, offers, shipping costs, delivery times and availability. Velvet Ventures S.R.L. reserves the right to correct any error, inaccuracy or omission, and to modify or update the information published or to cancel orders already confirmed, should the relevant information prove to be inaccurate, without prior notice.

12. Prohibited Uses

In addition to the other prohibitions set out in these Terms, the Customer is prohibited from using the Site and its contents: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any international, national or local legal provisions; (d) to infringe the intellectual property rights of Velvet Ventures S.R.L. or third parties; (e) to harass, abuse, offend, defame, intimidate or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or other malicious code; (h) to collect or track the personal data of others; (i) for spam, phishing, pharming, pretexting, spidering, crawling or scraping activities; (j) for obscene or immoral purposes; (k) to interfere with or circumvent the security features of the Site. Velvet Ventures S.R.L. reserves the right to terminate access to the Site in the event of breach of any such prohibitions.

13. Warranties and Limitation of Liability

Velvet Ventures S.R.L. does not warrant that the use of the Site will be uninterrupted, timely, secure or error-free, nor that the results obtainable from the use of the Service will be accurate or reliable.

Save as expressly stated, the Site and all products and services are provided "as is" and "as available", without any warranty, representation or condition of any kind, express or implied, including implied warranties of merchantability, quality, fitness for a particular purpose, durability, title and non-infringement.

To the extent permitted by law, Velvet Ventures S.R.L., its directors, officers, employees, affiliates, agents, suppliers and licensors shall not be liable for any direct, indirect, incidental, punitive, special or consequential damages of any kind, including, by way of example, loss of profits, loss of data, replacement costs or similar damages, arising from the use of the Site or the products purchased, even if Velvet Ventures S.R.L. has been informed of the possibility of such damages. The mandatory guarantees provided by law for consumer protection remain in any case unaffected.

14. Indemnity

The Customer undertakes to indemnify and hold harmless Velvet Ventures S.R.L., its subsidiaries, affiliates, partners, directors, agents, contractors, licensors, service providers, subcontractors, suppliers and employees from any claim or demand, including reasonable legal fees, made by third parties as a result of the Customer's breach of these Terms, of the documents referred to therein or of any legal provision or rights of third parties.

15. Severability

Should any provision of these Terms be declared unlawful, void or unenforceable, such provision shall nevertheless apply to the extent permitted by law, and the part deemed unenforceable shall be considered severed from these Terms. Such invalidity shall not affect the validity and effectiveness of the remaining provisions.

16. Termination

The obligations and responsibilities arising between the Parties prior to the date of termination shall survive the termination of this agreement. These Terms shall remain in force until terminated by the Customer or by Velvet Ventures S.R.L. The Customer may terminate the relationship at any time by notifying Velvet Ventures S.R.L. that they no longer wish to avail themselves of the Services or by ceasing to use the Site.

Should Velvet Ventures S.R.L. consider, at its sole discretion, that the Customer has breached any provision of these Terms, the Seller may terminate the agreement at any time without notice; in such case, the Customer shall nonetheless remain obliged to pay any amount due up to the date of termination and may be prevented from accessing the Services.

17. Entire Agreement

The failure by Velvet Ventures S.R.L. to exercise or enforce any right or provision of these Terms shall not constitute a waiver thereof. These Terms and any policy or operating rules published on the Site constitute the entire agreement between the Parties and govern the use of the Service, superseding any prior or contemporaneous agreements, communications or proposals, whether oral or written.

18. Governing Law and Jurisdiction

These Terms and any further agreement pursuant to which Velvet Ventures S.R.L. provides its Services are governed by and construed in accordance with Italian law.

For any dispute relating to the interpretation, performance or termination of these Terms and/or the use of the Site, exclusive jurisdiction shall lie with the Court of Milan, without prejudice to the mandatory consumer forum pursuant to Article 66-bis of Italian Legislative Decree 206/2005 (Consumer Code), where applicable.

19. Alternative Dispute Resolution (ODR)

Pursuant to Article 14 of Regulation (EU) No. 524/2013, the consumer Customer is informed that, in the event of a dispute arising from the purchase contract concluded through the Site, it is possible to access the Online Dispute Resolution (ODR) platform provided by the European Commission, available at the following address: https://ec.europa.eu/consumers/odr.

20. Amendments to the Terms

Velvet Ventures S.R.L. reserves the right, at its sole discretion, to update, modify or replace any part of these Terms by publishing updates on the Site. It is the Customer's responsibility to periodically consult this page in order to check for any amendments. Use of the Site or the Service following the publication of amendments shall constitute acceptance thereof.
